Job Description
The IT Procurement Contract Manager works closely with IT technical staff, software developers, IT Security, MSKCC Privacy, General Counsel, and end user departments, to negotiate Master Technology Agreements, Software as a Service Agreements, Software licensing agreements, hardware acquisition and support agreements, Business Associate Agreements, and associated statements of work. The IT Procurement Contract Manager will represent MSKCC in negotiations with external vendors and their legal counsel and monitor the execution of technology agreements to ensure all obligations are met in accordance with the terms of the agreement and consistent with MSKCC institutional Finance, Security, and Privacy policies.
Creates, writes, negotiates, and reviews hardware, software, and services licensing contracts. Works with the various MSKCC offices to establishing agreements that protect the interests of MSKCC and the requesting departments. Works with legal counsel, the Privacy Office and the IT Security Office when drafting Master Technology Agreements and various licensing agreements. Ensures contract performance and rewrites or amends business agreements as necessary. Must have a solid understanding of IT networks and infrastructure, data center technology, end user, mobile, web and social media technology. Exhibits creativity and excellent business acumen in planning, negotiating, and communicating business requirements.
Maintains a positive, professional working relationship with all parties, internal and external, engages in the contract negotiation process. Engages subject matter experts, clinicians, researchers, Finance, Purchasing, and others as necessary during the negotiation process to clarify requirements, escalate issues, and reach timely resolution. Works closely with all parties to develop creative solutions to obstacles encountered in negotiations
Remains alert for intellectual property, patient data, privacy, security, or regulatory requirements that may adversely impact the interests of MSKCC.
Ensures appropriate institutional approvals are obtained, documentation forwarded, and all other necessary steps are taken to complete the contract review process.
Maintains detailed and organized files for each contract which will include original contract, all correspondence, changes/deviations, amendments, clarifications, payment schedules.
Prepares and disseminates information and contract summaries to appropriate employees regarding contract status, performs closing activities as needed, tracks payments and deadlines.
Closely monitor executed agreements, tracking performance against negotiated terms, following project schedules and timelines to ensure that all key milestones, deliverables and obligations are achieved by internal and external parties.
Work closely with Corporate and IT Procurement and Accounts Payable to ensure that invoicing and payment occur on a timely and accurate basis.
Proactively monitor when the terms of agreements are nearing expiration. Discuss on-going project requirements with internal application owners. Amend or renew contracts as necessary to meet the on-going requirements of projects; close agreements as necessary.
Serve as a point reference to interpret the terms of the agreement, addressing any questions that may arise during the duration of the project while assuring all institutional and departmental policies and procedures are followed.
Develop and maintain a central tracking and reporting mechanism for all contracts and agreements within the responsibility of the IT Procurement department.
Log all contracts received and maintain accurate and timely records of the status of each contract under review and negotiation.
Manage and maintain a central database of successfully executed agreements. Maintain files of supporting documentation including original paper documentation as required.
Develop a mechanism to track the terms of agreement, tracking project timelines, key milestone and deliverable dates, expiration dates.
Provide management reporting on the status of agreements under negotiation and periodic updates during the life cycle of the agreement.
